These Terms of Service (“Terms”) apply to your access to and use of the websites and online services operated by NameWhips (“NameWhips,” “we,” “us,” or “our”), including NameWhips.com and any related domains, subdomains, apps or services (collectively referred to as the “Services”). By using our Services, you agree to be legally bound by these Terms.

Using Our Services You may browse and use our Services only if you comply with these Terms and all applicable laws. Our Services consist of websites, apps, tools, features, and other services to help you brainstorm, evaluate and select creative names and share name ideas and scenarios.

Your NameWhips Account You need to create an account to access some features. You agree to maintain accurate info, including a valid email address, and are responsible for all activity under your account. We reserve the right to terminate accounts with invalid info or that violate these Terms.

Acceptable Use Policy
You agree not to misuse our Services or assist others to do so. For example, you will not and will not assist others to (a) violate laws, rights of others, our policies; (b) try to access data you don’t have permission to access; (c) share passwords or do anything else to jeopardize security; (d) engage in disruptive, illegal or harmful conduct; (e) screen scrape, crawl, catalog prices or content, or use data mining or robots; (f) attempt to interfere with or compromise our Services or our servers.

Paid Services and Billing
Some of our Services require payment. By selecting a paid Service, you agree to pay the specified fees. Extra storage, access or features also require payment. We will charge your indicated payment method at the interval specified for that Service. You’re responsible for taxes associated with use of paid Services in your locale.

Free Trials
We may offer free trials of paid Services. You must cancel before the trial expires to avoid being charged.

Cancelling Services You may cancel paid Services anytime. Cancellations are effective at the next billing cycle. We don’t provide prorated refunds.

Content You Submit Content submitted to our Services must comply with applicable laws and these Terms. Don’t submit illegal, infringing, threatening, offensive or harmful content. You grant us licenses to store, display, reproduce and distribute content posted by you solely to provide and improve our Services.

Copyright and Trademark Our Services and content are protected by copyright and trademark. Unless expressly stated otherwise, you may not copy, modify, translate, publish, broadcast, transmit, distribute, index, catalog, perform or display any part of our Services or content without permission. Using our trade names, trademarks or service marks without permission also violates our rights.

Disclaimers We provide our Services on an “as is” and “as available” basis. We disclaim warranties including merchantability, non-infringement, accuracy of informational content, availability, quality, reliability, completeness or timeliness of our Services.

Limitation of Liability
NameWhips is not liable for damages arising from use of our Services unless caused by gross negligence. We are not liable for lost profits or consequential, special, punitive, exemplary, enhanced or statutory damages. Our total liability for claims is limited to the fees actually paid by you to NameWhips for the Services at issue in the three months preceding the claim.

Termination We reserve the right to terminate your account or access to any Service for violation of these Terms or applicable law. You have the right to terminate your account and stop using our Services at any time.

Governing Law
These Terms are governed by the laws of the State of California excluding conflict of laws principles.

General Provisions
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Failure to exercise rights under these Terms does not waive those rights. These Terms constitute the entire agreement regarding our Services.

Changes to Terms
We may revise Terms and will note changes in the Effective Date posted at the top. Please check it periodically for updates. By continuing to access our Services after revisions are in effect, you agree to abide by the revised Terms.
